Grease 13 x 9 inch pan. Preheat oven to 350 degrees. Mix cake mix, 1/3 cup of Eagle Brand, 3/4 cup of butter or margarine, and 1 cup of nuts together. Use half of that mixture and press in pan. Bake mixture for 6 minutes and let it cool slightly. Sprinkle chocolate chips across the top. In a double boiler, melt caramels and 3/4 cup Eagle Brand together, then pour on top of chocolate chips. Take the rest of cake mixture and press on top of caramels. Bake for 14 to 18 minutes.
